Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Le Module ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Le Module provides software development services including but not limited to: mobile application development, web application development, cloud infrastructure services, and technical consulting. The specific scope, deliverables, and timelines for each project will be defined in individual project agreements or statements of work.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for the performance of services
• Respond to requests for information, approvals, and feedback in a timely manner
• Ensure that all content and materials provided to us do not infringe on any third-party rights
• Pay all fees as agreed upon in the project agreement

4. Intellectual Property

Unless otherwise specified in a project agreement, upon full payment of all fees, the client shall own all intellectual property rights in the deliverables created specifically for the client. Le Module retains ownership of pre-existing tools, frameworks, and methodologies used in the development process.

5. Payment Terms

Payment terms, including rates, milestones, and schedules, will be defined in individual project agreements. Unless otherwise agreed, invoices are due within 30 days of issuance. Late payments may incur interest at the rate of 1.5% per month on outstanding amounts.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of these terms for a period of two (2) years.

7. Limitation of Liability

To the maximum extent permitted by law, Le Module shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim.

8. Warranties and Disclaimers

Le Module warrants that services will be performed in a professional and workmanlike manner. Except for this express warranty, all services are provided "as is" without any other warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose.

9. Termination

Either party may terminate the service agreement with thirty (30) days written notice. In the event of termination, the client shall pay for all work completed up to the termination date. Any provisions that by their nature should survive termination shall remain in effect.

10. Modifications

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

11. Governing Law

These terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these terms shall be resolved through good-faith negotiation, and if necessary, through binding arbitration.
